Just upgraded to 32gigs vs the 16 I had and it's working, tested with system reporting programs, etc. And They all show the 32gigs of memory. Went into PS to preferences to change memory usage by PS and it still only shows 14769 of available memory.
Do I need to reinstall PS or what to get it to see the new memory total?

That's odd.. When you say system reporting apps, you mean like Speccy? How about in Task Manager? You are definitely looking in Preferences for Photoshop 64bit? I am sure you are. What version of Photoshop?
My first stop would be into the BIOS via SETUP at boot. Check everything there.
Also, check that you have populated the correct slots on the MoBo, with the correct RAM sticks.

I've checked the bios, can't find anything related to shared memory and the MB is fully populated with the pair memory. I've posted the issue on both the MB makers site and the Custom Systems Builder's - so hopefully an answer and solution soon
Nail on the head, Bingo! Thanks Tim, had no idea MS would cripple the Home Premium edition that way, stupid beyond words, but now MS gets another chance to reach into my pocket. O'well I guess I don't feel too bad about it since I've been using a few of there free MS Research products too.
Stupid? They're actually going to get money from you, right? Did you forget that Microsoft is a business? The memory maker got money from you, why shouldn't the software maker as well?
It may not be pleasant to think that such limitations are arbitrarily imposed, but the limitations of the various versions are there and have been published plainly for a long time. For example:
