I'm upgrading from LR3 to LR4. The LR3 was an upgrade from LR2 so how do I go about downloading & upgrading to LR4?

Will all my catalogs etc come over during the upgrade or do I have to do anything special so the transition will proceed smoothly?

Do I need ant product id or serial # and if so is it the LR3 one or the LR2 (from disk)

to upgrade:

enter in the serial number from LR3/LR2, your choice.

Just to clarify, you'll have to purchase the Lightroom 4 upgrade. If Lightroom 3 is still installed, the installer will find the serial number and verify that you have a legitimate version that you are upgrading. Then the installation will proceed. Lightroom 4 will create an upgraded copy of your existing Lightroom 3 catalog. You will still be able to use Lightroom 3, but the transition to Lightroom 4 should be painless.

Yes, and all this information is in the "read me file" that is included with the download package.
