Should I uninstall #1 then install #2? With doing this mess up the serial # being re-used?

You are OK for Photoshop Elements but disk 2 is needed for Premiere Elements on 64 bit systems.

If you have installed 32 bit Premiere Elements you will need to deactivate it and then uninstall and use disk 2.
