I have two files, both created the exact same way in Photoshop.
The first file, I can open in Illustrator CS6, and all the text is editable and still intact.
The second file always flattens, no matter what options I choose in Photoshop or Illustrator.
Unfortunately, I had already tried that.Illustrator converted the PDF text to outlines but it at least brought them in as vectors.
Ideally, I would like to be able to edit the text in Illustrator.
Come to think of it, none of the layers are coming in when opening the PSD file. Illustrator is reading the entire document as one flat file, not just the text layers.

The text layers do not have effects or transparency. Some of the Photoshop raster layers have masks, transparency, layer effects, etc.
This is resolved, but I'd still like to understand why.
I went through the Photoshop file and deleted one layer at a time, saved the PSD, then opened in Illustrator.
Eventually, it came down to one text layer. With the layer in there, everything came into Illustrator flattened. Without the layer, everything worked fine.
Went back to my original file and converted the messed up text layer to a smart object and everything works as advertised now.
