It varies. Maybe a couple of minutes, maybe an hour or more. I shut down PPro about five minutes ago and it's still listed in Processes.
Update:
It's been about an hour now and it still hasn't quit.

Jeff Bellune Nov 30, 2010 6:56 AM (in response to Webshark2000)By design, several processes remain in memory after Pr is shutdown, especially after using Dynamic Link like to the AME or En. These normally self-terminate after a few minutes.
If they are still in memory an hour later, then either some other suite app is open, or something is keeping them open (like an audio driver or a problem with the program itself).

Webshark2000 Dec 6, 2010 5:40 AM (in response to DStoneburner)Just as an update, I'm still having the same problem, but sometimes Premiere will open back up even if there are instances of it showing. On the other hand, I always have to force-quit Encore to get it to open again.
