Install/update of ver. 11 failing!

Sometime in the middle of last month (October 2011) Flash Player (which had been working just fine) wanted to update itself. I allowed that and it didn't work right. Every time IE8 gets to a page that needs flash it just completely locks up! I have used the uninstaller to remove it and then re-start... I have run all my windows updates, I have closed every browser and other program that I can find, I checked my active x settings, but I always get the same error when trying to install, right around 55%-58% complete it says 'Error: application currently in use.' 

I am running Windows XP Pro SP3, IE8 32-bit... I also tried using Firefox, when I got to a page that needed flash it told me it was not installed and to 'click here' to install... I did that through Firefox and it tried to download Flash 10.1 instead of 11... 10.1 did not work either and gave me the same error. Please, please help!

I had even tried deleting the flash folder inside c:\Windows\System32\macromed

I just saw another reply that said to delete the whole macromed folder... I did and it still doesn't work!

Is there a file FlashPlayerCPLApp.cpl in C:\Windows\system32 ?  If so, delete it, then try the install again.

I don't have a file named FlashPlayerCPLApp.cpl in that directory.  I went there, sorted by file type, found the.cpl's and my list goes straight from desk.cpl to firewall.cpl....   Any other suggestions?

I see many warnings about registry keys in your log file.  Unfortunately it is not quite clear what these warnings are - possibly permission issues?
