IE9 - Flash - Unable to Register

I had IE8-64bit running on my Windows 7 system and Flash was working fine.  Suddenly it disappeared so I tried installing it.  I continue to get the "Unable to register Active X..." during the installation.  So I installed IE9, with the hope that this would install.  No such luck.  What is going on???

BTW,  I was able to install Flash 11 on Firefox and Chrome with NO problem.
