FlashPlayer Install Error

When I install FlashPlayer it stops mid-way and gives a 'close internet explorer windows' message.  When all IE windows are closed the install won't continue.  What's wrong and how do I fix?

Let's try this.  Download the stand alone installer from the page linked below.  Once downloaded, restart your computer and immediately after login, run the Flash Player installer.  Does it still complain that IE is running?
