Flash will not in stall after closing IE!

I've read through all the suggestions, reset IE, made sure  ActiveX Filtering is off etc... I've 'downloaded' Flash, I've 'run' Flash to install and still get the box "close IE". IE is not open! I click retry and the box continues to pop up and I cannot install Flash!

I've been reading discussions and retrying for the past 2 days. This is rediculous!

HELP!

I apologize for the inconvenience, make sure once you download the Flash Player installer, close Internet Explorer.

Note : Launch Task Manager and check in processes Tab for "iexplore.exe" process (Kill the process if it is running)

Right click on the task bar (near, but not on the Start menu) and select Task Manager from the menu that appears.
