This typically occurs when reinstalling the same version, however there can be other cases where your current browser needs to be closed so that Flash Player files can be unlocked.  Are you running into an error where the installer won't continue?

It starts to download and at about 50% it says it cannot continue until IE is shut off. How do I shut off IE and still maintain the connection with Adobe for the download???

The installer has its own downloader; you need to stop all iexplore.exe processes in order to complete the installation.
