Why do I get message to Close F.P. Settings Mgr. when installing?

When I try to download Flash Player, I keep getting stuck on a message that says I have Flash Player Settings Manager open and need to close to continue, but I DO NOT have Settings Manager open. (Yes, I know what it is and it is NOT open, I even re-started my computer to ensure it wasn't somehow running in the background.) Any help??
