Get a message telling me to close Internet explorer but it is closed and it still will not install.

To close such programs use the Windows Task Manager. To start Task Manager, take any of the following actions:
Once the Task Manager is running, select the Processes tab. On older Windows version you may need to click on the Process Name or Image Name header to sort the process names.
Now right-click on every process that the Flash Player installer needs to close (e.g. iexplore.exe), then select End Process.

That still doesn't allow for the Flash Player to be installed. Just all the windows that had been open, including this one, were closed. How am I to attempt installation while staring at my desktop?

Not exactly on topic, I am trying to update to 14.0.0.176 from 14.0.0.145, and get to step 2 and stuck there. Vista home premium+sp2 32 bit and all updates and using IE9.

Even though you've closed all browsers, it's quite possible a process named FlashUtil_VersionNumber_ActiveX.exe is still in memory. Please follow Vikram's instructions for viewing processes in Task Manager. If FlashUtil is running, terminate it and the installation should proceed.
