I had the same problem with Flex Builder 3 standalone on OS-X 10.5.2 when trying to activate it as a regular user (no error message). Using the admin account to manage Flex Builder licence finally solved the problem.
Adobe is struggeling with installer permissioning since day one on OS-X, and it seems that all developers exclusively work as admin. So much for security.

I have 3 licenses for Flex Builder 3 "educational"
and I am getting the green check but it says "invalid"
I also can no longer compile anything with FB3
the trial of FlexBuilder worked fine for me. Then I renamed it's main folder, tried to install a FlexBuilder 3 Pro directly from my Adobe install DVD. Unfortunately, FlexBuilder [Eclipse] didn't start. Created a several pages long log of plugin loading problems.
Removed the new install, renamed to demo back to its original name and entered the serial. Works fine now.
Would I get more, if I install the CD version instead of the downloaded DMG?
System: Mac OS X, 10.5.2, all updates installed
I run flex as a non admin user so it could never write the key to the proper config file which is owned by admin on my system.
