Your .pfx file needs to have the full certificate chain. It looks like it doesn't.
One way you can solve this problem is importng your certificate
into your OS. Then export the certificate with the whole certificate chain.
Once you do that, run the adt command again. It should work.
Here's my followup.
Indeed, originally the .p7b file was exported from IE certificate store without the full certificate chain.
After re-exporting with full chain into .p7b file, and then using the above mentioned pvk2pfx.exe tool, I got a proper working .pfx certificate file that signs fine in Flex Builder 3 for Mac.
Oh and another note, when ordering a certificate, look at when the cert is activated. The first time I tried a day too early as well :)

When I export I dont ever see an option for chain
export private key (yes)
then export file format pkcs#12(pfx) include all certs...enable strong protection...and delete private key...No chain mentioned
You don't specify which application you're using for export, but I believe "include all certs" is probably the option you're looking for.

Still didnt work. I did originally convert a pvk file (it would not import unless it was strong). Then imported it into my store. It ended under Personal/certificates.
Export it with all various options does not seem to work. Any suggestions.

Assume you use Windows XP and mmc.
include all certificates in the certification path is possible
is the one. Check this and go through the Export process.
You can also go to the Certification Path tab and check if you have all the certificates installed.
by the way...the export from certs cnap in did not work for me.
After importing my pvk with pkvimport (command line) I had to export it from command line for it to work.
c:\pvkimprt -import cert.spc key.pvk
c:\pvkimprt -pfx cert.spc key.pvk
