    After Effects CS6 and Prem. CS6

      I created a video in Prem. CS6 and a Project in After Eff. CS6. I want to merge the two file to be under each other and then Opacity the Prem. CS6 in After Effects but I can't seem how to do it. I tried the merge in Prem. to like with After Effects but that does not work. The file in Prem CS6 is MTS format if this helps.

          I take it from your explanation that you have two video tracks in Premier Pro and that there is an opacity change between the two layers. If you select both layers in the Premiere Sequence (timeline) and then you right click and select Replace with After Effects Composition you should be OK.
