An easy way would be to use DM Tools' fade transition Xtra:

As was said before, the DM transitions are very good and you can get easy to
use cross fades, wipes and other nice effects. It is an Xtra you have to buy.
If you just want a fade, you could either write a behavior or just use the
Score to change the Blend property of sprites over time (changing from 100% to
0% to fade out, 0% to 100% to fade in). There is a soft wipe behavior in the
animation > sprite transitions area of the library palette.
If you're going to need transitions for long term repitive use, the DM Xtra
pack would save you time and so be worth the cost. Otherwise, you'd have to
use an alternative way which may be more time consuming or vary in the way you
desire it to work.

Acually there is no need to make fade effect because Adobe Director natively provides you with several sets of transitions resided in the Library Palette. Check for Fade In/Fade Out Transition ...its fully customizable.
