You can only upgrade to versions that are currently sold and that are only one version behind.
At this point, that means that you can only upgrade to CS6, and you need to have CS5 for that.
CS3 is totally out of the upgrade loop.
So that means I would need to have CS4 already to upgrade to CS5 and that it won't upgrade CS3?
No, your CS3 is end of the line, totally out of any upgrade loop. You cannot upgrade CS3 to anytning at all.
CS4 could not be upgraded to anything either.
Your choices are:
• Buy a full copy of CS6, $700 for the Standard version, or a cool $1,000 for the Extended version; or
• Subscribe to Photoshop CC or CC2014 for $20.00 a month or
• Subscribe to the Photography plan for $10 a month, in which you get both Photoshop and Lightroom..

It should or previous owners would not be allowed to reinstall their upgrades.
The only precaution is to be sure CS3 was not used for an upgrade by anyone else, otherwise CS5 may not accept it.

A very good question, Silkrooster. I understood the OP to mean he owns CS3 and is thinking about somehow acquiring a CS5 upgrade version directly from Adobe. Especially his post #2 tells me that,

Yes I just bought CS5 and want to make sure it will work before opening it.
During install, it will want a serial number from a previous version, such as CS3, and as long as CS3 was not used by someone else to upgrade, you are fine.
Register CS3 first if you haven't to see if you are ok there. Hopefully that won't be a problem.
That way you know you can upgrade from it.
If it does not, you can call Adobe for a Unlock code.
Follow the instructions in the unlock section.
