Say I've got a layer of stock footage of these people having a meeting:
Underneath I've got a keyed layer of a talking head, and I want them to appear as if they're in this meeting. This is a crappy Photoshop mock up:
how do I do that? I know I probably need to use a matte but I can't get my head round how to achieve it.
It'd be quite good to change the background colour of the image too as the woman on the left is wearing an almost identical colour jacket, but I'm again not sure how to isolate only the background.

If this is footage (not a still image) its better done in AE - rotoscoping.
In Premiere you have to mask out the background.
You can use the maks feature from Opacity and use the pentool to draw the nodes.
Dont think you can key out the background: too much of the same colors used.

That is what i said, the people have gray clothing and hair very similar to the background.
But you can have a go with Ultra Key.
