Keying: allow white text to show through?

I have two identical DV clips except that:

Clip1 has better resolution (or looks better)

Clip2 has more compression artifacts, and has white text caption in the lower 1/3 of the screen.

I want to combine the two so that I get clip3 that has the better resolution in most of the area PLUS the text caption. Obviously the text and perhaps the immediate surrounding area would be in lower resolution; that's ok.

I can't figure out what type of keying is needed to make this happen. It's not quite the same as green screen keying.

I'm using premiere pro 1.5. If you have a solution for CS3 it would probably help me.
