I'v also read this somewere on Adobe's site, but all you need is the the serial number of CS2 and of course the one for CS4.

You will have to call adobe also. There is no upgrade path on the DVD from CS2. Only CS3. Customer Service will walk you through the upgrade.
When ordering CS4 you give the path from which you want to upgrade. This wil show up during installation of CS4.
There is a upgrade from Production Studio, is that not CS2?
It might be worth your while to install CS2 first if only because there are many fonts or other items that might not be installed on your system if you only install CS4.
Of course, you can usually browse the disc contents for these items and accomplish the same end.
However, two issues you might encounter are 1) unnecessary file space occupation and registry clutter by a program you are no longer using (CS2), and 2) I'm not sure CS2 will even install on Vista 64 in the first place. Worth a shot, though.
EDIT - to answer your original question...you can just use the serial number, the product does not need to be installed in order to install the upgrade.
