Can you give us details about the source Clips used in CS3?
I assume that you are doing the work in a DV PAL Project. Is this correct?
Have you added the Video Transition>Dip-to-Black, or have you Keyframed Opacity, or similar to create this?

Your correct, it's a DV PAL project. In most cases I used keyframed opacity to get the desired dip to black, but sometimes also the "Dip to black" option. Anyway, in the transcoded video they both look kind of blurred.
If it looks clear on the timeline or on other less compressed exports, then the problem is not enough bw on the encode. A fade to black is pretty intense (pixel wise) It exersizes (changes) pretty much every pixel in the frame each frame; which is difficult to compress. So my guess is if you give it more BW (bits) it will look better.
I increased the Minimum Bitrate to 4 and the Maximum to 9 and it looks much better!
