My guess is that there are a number of small problems adding up to one big problem, Marty.
1) You're using Windows 7 64-bit. That means that when the program (which is 32-bit) tries to interface with your system, it's bumping into drivers that may not be compatible with it. There's not much you can do about this, unfortunately (You can't change your operating system without reinstalling it, which you don't want to do). All you can really do is wait and hope that, in the next six months or a year, the third-party driver providers start building drivers that work for 32-bit programs as welll as 64-bit.
2) You're using Premiere Elements 4 -- which may or may not be Windows 7 compatible. The program was, after all, creating years before Windows 7!
3) Finally, you're using MOD files from a JVC Everio camcorder. And this may be the biggest problem of them all, since virtually EVERY program has problems with them. The FAQs to the right of this forum offer some solutions that may work.
Steve, Thank you VERY much!! and WOW what a quick response.... I thought I would have to wait a few days. I will check the FAQ's you suggest and yeah I might need to spring for a little updated version...:) Thanks again for the help Steve.

Steve, Update.... I found the cd that came with my Everio and loaded that software. I did what you suggested in the other forum thread (above in your reply) and it works like a charm!!! You hit the nail on the head. Thanks again for your help.
