That is to be expected when the system does not even meet minimum requirements and you are confronting it with one of the most difficult and taxing codecs around.
The only solution I see is getting a new PC: Adobe Forums: What PC to build? and look at the economical model as a bare minimum with this source material.
What you are currently trying to do is hauling a 40 ton load uphill with a bicycle. But by choosing QuiRckTime as an export format, you make it even worse, you have a bicycle with a flat rear tire. Stay away from 32 bit QT as much as possible.

Rendering out 3minutes of 5D material from CS5 (fully licensed) only takes 20 minutes here to a full quality AVI or H264 HDTV format. and my system isn't much better spec'd (3ghz quad core, 8gb ram, 10k discs & GTX285 card).

There are huge differences in specs between the Cinema5D system and your system:
1. Pentium D versus Quad core
2. 4 GB versus 8 GB
3. Single160 G IDE drive versus multiple Velociraptors
4. GTS 8800 versus GTX 285 with MPE support
In terms of performance that would be at least a factor 10 times faster, possibly 20+ times.

In testing rendering times we have found that hardware MPE rendering will improve rendering time by a factor 10 or more. In your case, when you start with 36 hours, adding a MPE supported card, may reduce that to 3.6 hours or even less, depending on your timeline.
If you have a look at PPBM4 Benchmark and specifically at the third from last entry, Powered by Design, you will see a somewhat comparable system to yours. For CS5 look at the new benchmark: PPBM5 Benchmark

the H264 mov clips on the timeline ,Export to Movie Microsoft avi,
Uncompressed, must render of course , but, it takes say 30 mins, then Import
into Premiere Pro the Cineform AVI file and it would probably render in say
45 minutes, you will not miss anything in quality, check it with a right
click on the timeline, if you are worried.

actually I'm thinking of changing whole computer to new.
The new spec will be:
Gigabyte GA-X58A-UD3R
i7 930 2.80GHz S-1366 - OC @ 3.6Ghz
G.Skill DDR3 4GB 1600MHz Dual Eco CL7 - x2 (so 8GB RAM for now)
GeForce GTX460 1GB DDR5 256bit (with a hack)
WD Caviar Black 500GB x2 + current WD Caviar 160GB

you mean to convert h264 to uncompressed avi, then convert them with cineform and then import cineform into Premiere and render it out to flv?

Harm, I'd love to, unfortunately my funds won't let me do that. Maybe if I get more movie assignments (I'm a still photographer at the moment so this comp spec will be way too much for my 7D RAWs ). But that's why I choose x58 mobo - for future upgrades.

I forgot to mention these G.Skills are already in 2x2GB sticks so it's 4GB but 2x2GB per stick. I want to buy 2 sticks now (so 4x2GB) and buy another stick (so + 2x2GB) in the near future
