okay it worked!!
i dont know which one of the two solutions actually did it...
1. i just renamed the pref file. (found here: C:\Users\myusername\AppData\Roaming\Adobe\After Effects\10.0\Adobe After Effects 10.0-x64 Prefs.txt )
2. created two rules both in inbound and outbound in the windows firewall allowing the two apps.
b. adobe QT32 Server.exe

Regarding the other error message:
Search for the error message on this forum, and you will find a few threads in which people have this issue and find that there are various causes and solutions. Here is one: http://forums.adobe.com/message/2287307#2287307
I'll revisit this thread later, after you've had a chance to try the solutions offered on the other threads.
