Since the metadata has not been saved to the drive yet, it wants to know if you want to update the files on your drive or go back to the original metadata thats on the drive.
So import button if you want to go back to the original metadata or overwrite button to update the files on the drive.
Its a good habbit to get into is save the metadata back to the drive when you can, that will make sure any other app that reads the metadata is using the latest data and should anything go awry with your catalog, you will have less to do to restore that catalog.
The other time you will see this message is when you use another app like Adobe Bridge to update the metadata. This allows you the opportunity to update your catalog. That would be a time to import settings from disk.
